OUTVIN PORTAL – TERMS AND CONDITIONS

1. SCOPE AND ACCEPTANCE

These Terms and Conditions ("Terms") govern access to and use of the Outvin portal, API, dashboards, documentation, reports, data outputs and related services operated by Sabiedrība ar ierobežotu atbildību "Social Minds" ("Social Minds", "Outvin", "we", "us").

By registering an account, accessing the portal, using the API, purchasing credits, submitting VINs, placing an order or otherwise using the services, the customer ("Customer", "you") accepts these Terms.

The Services are provided only for professional business use in the automotive aftermarket. The Services are not intended for private consumer use.

The Customer confirms that it is acting in the course of business, trade or professional activity and not as a consumer.

If a separate written agreement, order form or data licence agreement has been signed between Social Minds and the Customer, that agreement prevails over these Terms in case of conflict.

The Customer represents and warrants that it operates within the automotive aftermarket supply chain and that access to the Services is requested only for legitimate professional automotive aftermarket purposes. The Customer shall not use the Services or Data Outputs for purposes outside such activities. Upon Social Minds' reasonable request, the Customer shall provide information reasonably necessary to substantiate its business status, role within the automotive aftermarket supply chain, intended use case and compliance with these Terms.

2. DEFINITIONS

For the purposes of these Terms:

  • Account means the Customer's registered user account in the Outvin portal.
  • Aftermarket Use means professional use by independent operators and other professional automotive stakeholders for legitimate automotive aftermarket purposes, including vehicle identification, VIN decoding, vehicle configuration verification, spare parts identification and fitment support, vehicle inspection, used vehicle evaluation, fleet management, insurance-related assessment, automotive software workflows, vehicle listing enrichment and similar professional activities.
  • API means Outvin's application programming interface and related technical documentation.
  • Credits means prepaid, allocated or invoiced units used to access certain Services, where applicable.
  • Customer Data means information submitted by the Customer to the Services, including VINs, account information, API requests and related usage data.
  • Data Output means information returned by the Services in response to a Customer query, including VIN decoding results, vehicle identification data, build data, factory equipment data, option data, technical vehicle attributes and related structured data, depending on the product and data availability.
  • OEM means an original equipment manufacturer or vehicle manufacturer.
  • Portal means the Outvin online portal, including account management, credit balance, API documentation, billing information and service access tools.
  • Services means the Outvin portal, API, VIN decoding, vehicle identification, factory equipment/build data, vehicle configuration data, reports and other related services made available by Social Minds.
  • Source Data means data, information or content obtained from OEMs, authorised providers, aggregators, public sources, commercial data providers or other lawful data sources and used to provide the Services.
  • VIN means a vehicle identification number.

3. SERVICES PROVIDED

Social Minds operates the Outvin Portal and provides professional automotive data services, including where available:

  • VIN-based vehicle identification and decoding;
  • Factory equipment, build configuration and option data;
  • Vehicle specification and technical attribute data;
  • API-based access and portal-based tools;
  • Related technical outputs, reports and structured data.

Data availability may vary by brand, model, market, country, data source, vehicle age, OEM access conditions, technical limitations, legal restrictions and third-party availability.

Social Minds does not guarantee that data will be available for every VIN, brand, country, vehicle, model year or request.

The Services support professional automotive workflows and are not a substitute for official vehicle documents, physical inspection, professional diagnosis, manufacturer confirmation, regulatory inspection or legal due diligence.

The Services available through the Portal do not include access to service history records, workshop records or comparable service record databases unless such access is separately agreed in writing and technically enabled by Social Minds.

4. PROFESSIONAL AFTERMARKET USE ONLY

The Services and Data Outputs may be used only for lawful, legitimate and professional automotive aftermarket purposes.

Permitted professional use cases include, where applicable:

  • Vehicle identification and VIN decoding;
  • Vehicle configuration, factory equipment and option verification;
  • Spare parts identification and fitment support;
  • Fleet management and vehicle lifecycle management;
  • Vehicle inspection and technical assessment;
  • Insurance, warranty, claims and residual value assessment;
  • Automotive workshop software, DMS, CRM or other platform workflows;
  • Other activities carried out in the context of the Customer's business in the automotive aftermarket supply chain, in accordance with Regulation (EU) 2018/858.

The Customer must not use the Services or Data Outputs for purposes outside the professional automotive aftermarket unless Social Minds has given prior written approval.

The Customer is responsible for ensuring that its own use of the Services and Data Outputs is lawful, appropriate and consistent with its professional role.

5. REGISTRATION AND ACCOUNT SECURITY

To access certain Services, the Customer must register an Account and provide accurate, complete and up-to-date information.

Social Minds may request business verification information before activating or continuing access to the Services.

The Customer is responsible for maintaining the confidentiality of login credentials, API keys, access tokens and other security details.

The Customer must ensure that only authorised personnel access the Account and Services.

The Customer must immediately notify Social Minds of any unauthorised access, suspected compromise, misuse of credentials or security incident involving the Account or API keys.

Social Minds may suspend or restrict access where it reasonably suspects unauthorised use, security risk, misuse, breach of these Terms, breach of source restrictions or unlawful activity.

6. CUSTOMER RESPONSIBILITIES

The Customer must use the Services lawfully and in accordance with these Terms, applicable law, the technical documentation and any additional instructions provided by Social Minds.

The Customer is responsible for ensuring that it has a lawful basis, legitimate business reason and professional need to submit each VIN or other query to the Services.

The Customer must not submit personal data that is not required for the use of the Services. In particular, the Customer must not submit vehicle owner names, addresses, phone numbers, email addresses or other direct personal identifiers unless expressly agreed with Social Minds in writing.

The Customer is responsible for the legality, accuracy and appropriateness of Customer Data submitted to the Services.

Where the Customer makes Data Outputs available to its own users, customers, employees, contractors or systems, the Customer remains responsible for the lawful presentation, interpretation and use of such Data Outputs.

The Customer must ensure that its employees, contractors, affiliates, customers and technical providers who access or use the Services comply with these Terms.

7. LICENCE AND PERMITTED USE OF DATA OUTPUTS

Subject to these Terms and payment of applicable fees, Social Minds grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services and Data Outputs for the Customer's own professional Aftermarket Use.

The Customer may use Data Outputs internally within its business and, where technically enabled or commercially agreed, may display limited and relevant Data Output elements to its own customers or users as part of a value-added automotive service.

Any customer-facing display must be proportionate to the relevant use case and must not enable extraction, reconstruction, resale or redistribution of the underlying Source Data, OEM data or Outvin data.

Unless expressly agreed in writing, the Customer may not resell, sublicense, publish, distribute, transfer or otherwise make available raw Data Outputs as a standalone data product.

The Customer may not represent itself as an authorised OEM source, official manufacturer database or official source of manufacturer data unless it has separate authority to do so.

The Customer must not remove, obscure or alter proprietary notices, source notices, usage restrictions, disclaimers or warnings provided with Data Outputs.

8. SOURCE AND OEM DATA RESTRICTIONS

The Customer acknowledges that certain Data Outputs may include, be derived from or be based on Source Data subject to contractual, technical, legal or OEM-specific restrictions.

The Customer must comply with all restrictions communicated by Social Minds in relation to the Services, Data Outputs, Source Data or OEM-related data.

The Customer must not use Data Outputs in a way that exceeds the authorised professional aftermarket purpose for which access was granted.

Without limitation, the Customer must not:

  • Redistribute, resell, sublicense, publish or otherwise make available raw Source Data, raw OEM data or raw Data Outputs as a separate data feed, database, report library or competing information product;
  • Use the Services to create, compile, enrich, maintain or commercialise a database substantially similar to, substituting or competing with the Services, Source Data, OEM systems or manufacturer databases;
  • Bulk extract, scrape, harvest, download, cache or systematically collect Data Outputs outside normal transactional use;
  • Reverse engineer, decompile, disassemble or attempt to derive the structure, logic, data model, source, access method or underlying datasets of the Services, Source Data or OEM data;
  • Use automated request patterns intended to map data coverage, exhaust source systems, test source limitations or collect data beyond genuine business transactions;
  • Combine Data Outputs with other information for the purpose of reconstructing OEM datasets, manufacturer databases, vehicle configuration databases, option databases or comparable technical information sources;
  • Use Data Outputs for AI model training, machine learning training, large language model training, dataset generation, data mining, profiling or similar purposes without prior written approval from Social Minds;
  • Use Data Outputs for benchmarking, source identification, competitive analysis of OEM systems or analysis of Social Minds' data acquisition methods;
  • Remove or bypass technical restrictions, rate limits, access controls, monitoring tools, billing mechanisms or security controls;
  • Use the Services or Data Outputs in a way that may cause Social Minds to breach its obligations towards OEMs, data providers, licensors or other source providers.

If Social Minds informs the Customer that a specific brand, product, data field, use case, country, customer category or integration is restricted, the Customer must immediately comply with such restriction.

Social Minds may suspend or limit access to specific brands, products, data fields or features if required by source restrictions, OEM instructions, legal requirements, audit findings or risk assessment.

9. NO CUSTOMER DATA STORAGE; TRACE RECORDS AND 12-MONTH REPEAT ACCESS

The Customer must not store, copy, download, cache, archive or otherwise retain raw Data Outputs, Source Data, OEM data or any substantial part of such data for the purpose of creating, maintaining, enriching or commercialising a separate database, data repository, data product or substitute information source.

The Services are provided on a transactional request basis. The Customer may use the Data Output returned for a specific VIN only for the permitted professional Aftermarket Use related to that specific transaction or business workflow.

The Customer may store only limited trace records necessary to evidence that a request was made and to support billing, audit, customer support, compliance and internal control purposes.

Permitted trace records may include only limited request metadata, such as:

  • VIN submitted;
  • Request date and time;
  • User or account identifier;
  • Product type requested;
  • Request status;
  • Successful or unsuccessful result status;
  • Credit usage or transaction reference;
  • Invoice, order or billing reference;
  • Limited technical metadata required for troubleshooting, security or audit purposes.

Trace records must not include the full raw Data Output, full Source Data, bulk exported data fields or any data stored in a manner that would allow the Customer to reconstruct a vehicle configuration database, OEM dataset or comparable data product.

For the same VIN, the Data Output previously made available through the Services will remain available to the Customer free of charge for a period of twelve (12) months from the original request date, provided that:

  • The Customer's Account remains active and in good standing;
  • The repeated access concerns the same VIN and the same product/data type as the original request;
  • The relevant data remains technically and legally available to Social Minds;
  • Access is not restricted by law, sanctions, source restrictions, OEM instructions, security requirements or breach of these Terms.

Repeated access to the same VIN within the twelve (12) month period does not create any right for the Customer to store, copy, export, scrape, download in bulk or otherwise retain the Data Output outside the Services.

After the twelve (12) month period, a new request for the same VIN may be treated as a new billable request according to the pricing and credit rules applicable at that time.

Social Minds may retain system-side trace records, request metadata, billing records, access logs and limited response references as necessary for service delivery, repeated access, billing, troubleshooting, fraud prevention, security, compliance, audit and legal purposes.

Social Minds is not required to retain or make available any Data Output where continued retention or access is no longer technically possible, legally permitted, commercially available from the source, or compatible with source restrictions, OEM requirements or applicable law.

The Customer must implement appropriate technical and organisational measures to prevent unauthorised storage, extraction, copying, disclosure, scraping, bulk download or misuse of Data Outputs.

Upon request, the Customer must reasonably demonstrate compliance with this Section, including by explaining its trace record, storage, caching, deletion and access control practices.

10. PROHIBITED TERRITORIES, SANCTIONS AND NO EXPORT TO RUSSIA OR BELARUS

The Customer must not sell, export, re-export, transfer, provide, make available or otherwise supply the Services, Data Outputs, Source Data, technical information, software, API access or related technology, directly or indirectly, to or for use in:

  • The Russian Federation;
  • The Republic of Belarus;
  • Any territory subject to applicable sanctions or trade restrictions;
  • Any person, entity or body subject to asset-freezing measures, sanctions or restrictive measures under EU, Latvian, UN, UK or US sanctions rules, to the extent applicable.

The Customer must not use the Services or Data Outputs for the benefit of any person, entity, business operation, vehicle fleet, platform, customer, reseller, intermediary or end user located in, established in, operating from or acting for Russia or Belarus.

The Customer must not knowingly allow the Services or Data Outputs to be re-exported, transferred, routed, resold, sublicensed or otherwise made available through third countries, intermediaries, affiliates, contractors or platforms where the Customer knows or should reasonably suspect that the final destination, use or beneficiary is Russia, Belarus or a sanctioned party.

The Customer must maintain appropriate screening, contractual controls and internal procedures to comply with this Section.

The Customer must immediately notify Social Minds if it becomes aware of any actual or suspected breach of this Section.

Social Minds may immediately suspend or terminate access if it reasonably suspects a breach of sanctions, export control rules, anti-circumvention obligations or this Section.

11. API USE AND TECHNICAL RESTRICTIONS

The Customer must use the API only in accordance with Social Minds' technical documentation.

Social Minds may apply rate limits, fair use rules, request limits, usage monitoring, authentication rules and other technical controls.

The Customer must not attempt to bypass rate limits, automate abnormal request patterns, perform stress testing without written permission or use the API in a way that may degrade service performance.

Social Minds may modify API endpoints, response structures, documentation and technical requirements where reasonably necessary. Social Minds will use reasonable efforts to provide notice of material changes.

The Customer is responsible for its own integration, software, systems, security, data validation and correct interpretation of API responses.

12. CREDITS, FEES, PAYMENTS, DELIVERY, CANCELLATION AND REFUNDS

The Services may be charged on the basis of credits, successful results, subscription fees, monthly usage, API calls, brand-specific pricing or other pricing models agreed with the Customer.

All prices are shown in EUR unless stated otherwise. Prices may be shown exclusive of VAT or inclusive of VAT, depending on the checkout page, invoice or applicable tax requirements.

The Customer is responsible for providing accurate billing information, including company name, registration number, VAT number, billing address and contact details.

By placing an order, purchasing credits, activating a paid package or otherwise submitting payment through the Portal, the Customer confirms that it has reviewed and accepted these Terms, the Privacy Policy and the applicable price, product description and billing conditions.

Payment may be made using the payment methods made available in the Portal. Social Minds may use third-party payment service providers to process payments. Social Minds does not store full payment card details unless expressly stated otherwise.

Access to paid Services, credits or Data Outputs may be provided only after successful payment confirmation or approval of another agreed billing arrangement.

Unless otherwise agreed, Social Minds charges only for successful results according to the applicable product rules, pricing page, order form or written agreement.

For VIN decoding or vehicle identification, a successful result may mean that Social Minds returns a VIN-based vehicle identification result with relevant configuration, equipment, option or technical attribute data.

The exact success definition, credit consumption and price per product may vary by brand, data type, country, data source and commercial arrangement.

Credits are not legal tender, do not accrue interest and are not refundable unless required by law or expressly agreed in writing.

Delivery

The Services are digital services delivered electronically through the Portal, API or the Customer's Account.

After a successful order, the purchased credits, access rights or service availability will be made available in the Customer's Account.

Data Outputs and request results will be available in the "Requests" section of the Portal and/or through the API response, depending on the product and access method used by the Customer.

No physical delivery is provided. Delivery is deemed completed when the relevant credits, access rights, request result or Data Output is made available in the Customer's Account, the Portal or the API.

Cancellation

A fourteen (14) day cancellation period is available only if no request has been made to the system after the relevant purchase.

For the purposes of cancellation, a "request" includes any successful or unsuccessful VIN lookup, API request, Portal request, test request, data query or other system request submitted by the Customer or through the Customer's Account/API key.

Once any successful or unsuccessful request has been submitted to the system, the Customer loses the right to cancel the relevant purchase, credit package or digital service access, unless mandatory law provides otherwise.

Cancellation requests must be submitted in writing to [email protected] and must include the Customer's company name, account email, order number or invoice number and payment date.

Refunds

Social Minds stands behind its digital products and the Customer's satisfaction is important. However, because the Services are digital services and digital data products delivered electronically, payments are generally non-refundable.

Refunds are not provided for used credits, submitted requests, successful or unsuccessful lookups, API usage, activated service access or digital outputs already made available to the Customer.

Social Minds may, at its discretion or where required by law, issue a refund or credit correction in cases such as duplicate payment, clear billing error, technical non-delivery before any request was made, or another exceptional situation confirmed by Social Minds.

If a refund is approved, it will normally be made using the same payment method that was used for the original payment, unless otherwise agreed.

Bank fees, payment processor fees, currency conversion costs or other third-party charges may be deducted from the refund amount where permitted by law and where such costs were incurred by Social Minds.

Failed Payments and Chargebacks

If a payment fails, is reversed, disputed, charged back or suspected to be fraudulent, Social Minds may suspend or restrict access to the Services until the issue is resolved.

The Customer must not initiate unjustified chargebacks for validly delivered digital Services. Social Minds may recover reasonable costs related to unjustified chargebacks, payment disputes or collection of unpaid amounts.

Invoices

Social Minds may issue invoices electronically and make them available by email, through the Portal or through another agreed method.

The Customer is responsible for downloading, storing and reviewing invoices and payment confirmations.

Invoices are payable within the period stated on the invoice, order form or Portal checkout page. Late payments may result in suspension of access.

Changes to Pricing

Social Minds may change prices, credit rules, packages or billing terms by giving reasonable notice to the Customer.

Changes do not affect already purchased credits unless required by changes in source costs, legal requirements, source restrictions, payment provider requirements or third-party access conditions.

13. CHECKOUT ACCEPTANCE AND PAYMENT RECORDS

The Portal may require the Customer to confirm acceptance of these Terms and the Privacy Policy before submitting an order or payment.

Social Minds may store evidence of acceptance, including user ID, company details, timestamp, IP address, order details, Terms version and Privacy Policy version.

Before payment, the Portal may display the selected product or credit package, price, VAT treatment, currency, total amount, delivery method and other key order information.

After payment, the Customer may receive or access an order confirmation, invoice or payment confirmation through the Portal, by email or through another agreed method.

14. AVAILABILITY AND MAINTENANCE

Social Minds aims to provide reliable access to the Services but does not guarantee uninterrupted, error-free or always available operation.

Services may be unavailable due to maintenance, technical incidents, cyberattacks, third-party provider issues, OEM system limitations, source downtime, legal restrictions, audit-related restrictions or force majeure events.

Social Minds may suspend or limit Services where necessary to protect system security, comply with law, respond to third-party restrictions, prevent misuse or maintain service integrity.

15. DATA ACCURACY AND DISCLAIMERS

Social Minds obtains, aggregates, processes, normalises and makes available automotive data from various lawful sources, which may include OEM systems, authorised aggregators, contractual data providers, public or commercially licensed sources and other lawful automotive data sources.

Data Outputs are provided on an "as is" and "as available" basis.

Vehicle data may be incomplete, delayed, inconsistent, unavailable, changed by the source, limited by region or affected by errors in original source systems.

Social Minds does not warrant that Data Outputs are complete, accurate, current, suitable for every purpose or accepted by any authority, insurer, buyer, seller, marketplace or third party.

The Customer must independently assess whether a Data Output is suitable for its intended use.

Social Minds is not responsible for decisions made solely on the basis of Data Outputs, including purchase, sale, valuation, insurance, financing, compliance, safety or consumer-facing decisions.

Brand names, trademarks, model names and manufacturer references are used only for identification and compatibility purposes. Social Minds does not claim ownership of third-party trademarks or OEM data.

16. INTELLECTUAL PROPERTY

Social Minds and its licensors retain all rights, title and interest in the Services, Portal, API, software, databases, documentation, data structures, reports, trademarks, logos, know-how and related materials.

No intellectual property rights are transferred to the Customer except for the limited use rights expressly granted under these Terms.

The Customer retains ownership of its own systems, software, business data and materials provided to Social Minds.

Feedback, suggestions or improvement ideas provided by the Customer may be used by Social Minds without restriction or compensation, provided that Social Minds does not disclose the Customer's confidential information.

17. CONFIDENTIALITY

Each party must keep confidential all non-public business, technical, commercial, financial and operational information received from the other party.

Confidential information may be used only for the purpose of performing or receiving the Services.

Confidentiality obligations do not apply to information that is publicly available, already known without confidentiality restriction, independently developed, lawfully received from a third party or required to be disclosed by law.

The Customer must treat API credentials, technical documentation, pricing, non-public data coverage information, source restrictions and portal access details as confidential.

18. DATA PROTECTION

The processing of personal data is governed by Social Minds' Privacy Policy and, where applicable, a separate Data Processing Agreement.

The Customer must ensure that any personal data submitted to Social Minds is provided lawfully, fairly and transparently.

The Customer must not submit unnecessary personal data to Social Minds.

VINs and vehicle-related information may in certain circumstances qualify as personal data where they can be linked to an identifiable natural person. The parties must handle such information accordingly where applicable.

Unless separately agreed, the Customer must not submit vehicle owner names, addresses, contact details, identity documents or other direct personal identifiers through the Services.

19. AUDIT, MONITORING AND COMPLIANCE VERIFICATION

Social Minds may monitor use of the Services for security, billing, misuse prevention, source compliance, sanctions compliance and technical performance purposes.

Upon reasonable request, the Customer must provide information necessary to verify compliance with these Terms, including information on use cases, integrations, data storage, caching, end-user access, redistribution controls, sanctions controls and security measures.

Social Minds may suspend access if the Customer fails to provide reasonable compliance information or if Social Minds identifies a material compliance risk.

The Customer must keep reasonable records of its use of the Services and Data Outputs where necessary to demonstrate compliance with these Terms.

20. SUSPENSION AND TERMINATION

Social Minds may suspend or terminate access immediately if the Customer:

  • Breaches these Terms;
  • Fails to pay undisputed amounts when due;
  • Misuses the Services or API;
  • Creates security, legal, reputational, contractual or operational risk;
  • Uses the Services unlawfully or in breach of source restrictions;
  • Breaches sanctions, export control or anti-circumvention obligations;
  • Attempts to resell, redistribute, scrape, bulk extract or reconstruct data;
  • Becomes subject to insolvency, sanctions or legal restrictions affecting performance.

The Customer may stop using the Services at any time. Termination does not affect outstanding payment obligations, accrued rights or provisions intended to survive termination.

Upon termination, the Customer must stop using the Services, delete or return confidential information where required and cease use of API credentials.

Provisions relating to payment, confidentiality, intellectual property, prohibited use, source restrictions, sanctions, data protection, liability, indemnity and dispute resolution survive termination.

21. LIMITATION OF LIABILITY

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intentional misconduct or fraud.

To the maximum extent permitted by law, Social Minds is not liable for indirect, incidental, special, punitive or consequential damages, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data or business interruption.

To the maximum extent permitted by law, Social Minds' aggregate liability arising out of or in connection with the Services is limited to the fees paid by the Customer to Social Minds for the affected Services during the twelve (12) months preceding the event giving rise to the claim.

Social Minds is not liable for errors, omissions, delays or unavailability caused by OEMs, data providers, third-party systems, public sources, telecommunications providers, hosting providers, payment processors, force majeure events or the Customer's systems.

22. INDEMNITY

The Customer must indemnify and hold Social Minds harmless against claims, damages, fines, losses, liabilities, costs and expenses arising from:

  • The Customer's breach of these Terms;
  • Unlawful use of the Services or Data Outputs;
  • Unauthorised disclosure, resale, sublicensing or redistribution of Data Outputs;
  • Scraping, bulk extraction, reconstruction or creation of unauthorised datasets;
  • Breach of source restrictions or OEM-related restrictions;
  • Breach of sanctions, export control or anti-circumvention obligations;
  • Infringement of third-party rights caused by the Customer's use;
  • Personal data submitted or processed by the Customer unlawfully;
  • Claims from the Customer's own users, customers or business partners relating to the Customer's use or presentation of Data Outputs.

23. CHANGES TO TERMS

Social Minds may update these Terms from time to time.

Material changes will be communicated through the Portal, email or website notice.

Continued use of the Services after updated Terms become applicable constitutes acceptance of the updated Terms.

If a change is required by law, sanctions, source restrictions, OEM requirements, payment provider requirements, security risk or technical necessity, Social Minds may apply the change immediately.

24. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Republic of Latvia, without regard to conflict-of-law rules.

Any dispute arising out of or in connection with these Terms shall be resolved by the competent courts of the Republic of Latvia, unless mandatory law provides otherwise.
